These Terms of Service (“Terms”) govern your access to and use of ContractIQ, a software-as-a-service platform operated by INSURASAFE, LLC (“INSURASAFE,” “we,” “our,” or “us”). By accessing or using ContractIQ, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
ContractIQ is a B2B platform. Users include Field Marketing Organizations (FMOs), insurance carriers, and licensed insurance agents. These Terms apply to all user types unless otherwise specified.
By creating an account, accessing the platform, or completing the agent contracting wizard, you represent that you are at least 18 years of age, you have the legal authority to enter into these Terms on behalf of yourself or your organization, and you agree to comply with these Terms in full.
FMO administrators who invite agents to use ContractIQ represent that they have authority to act on behalf of their organization and that their agents will be bound by these Terms upon accessing the platform.
ContractIQ may be used only for lawful insurance contracting and appointment management purposes. Permitted uses include:
Completing agent contracting applications for submission to authorized insurance carriers. Collecting, storing, and transmitting agent licensing, identity, banking, and tax information as part of the contracting workflow. FMO administrators managing agent contracting pipelines and carrier relationships. Insurance carriers accessing agent contracting data via the ContractIQ API for appointment processing.
All use of the platform must comply with applicable federal and state laws and regulations, including insurance licensing laws, the Gramm-Leach-Bliley Act (GLBA), and applicable state privacy laws.
You may not use ContractIQ for any of the following purposes:
Submitting false, fraudulent, or misleading information in any contracting application. Accessing or attempting to access another user's account or data without authorization. Reverse engineering, decompiling, or attempting to extract source code from the platform. Using automated scripts, bots, or scrapers to access the platform or its API without prior written authorization. Using the platform to facilitate any unlicensed insurance activity. Uploading malware, viruses, or any code designed to damage or disrupt the platform or its users.
Violation of prohibited use restrictions may result in immediate account suspension and legal action.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@contractiq.com if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account.
FMO administrators are responsible for the accounts they create and invite, including ensuring that invited agents are actively licensed and eligible for the contracting workflow.
INSURASAFE uses Clerk as its authentication provider. Password management, multi-factor authentication, and session security are governed by Clerk's terms and policies in addition to these Terms.
You retain ownership of all personal and business data you submit to ContractIQ. By submitting data, you grant INSURASAFE a limited, non-exclusive license to process, store, and transmit your data as necessary to provide the Service and as described in our Privacy Policy.
INSURASAFE does not claim ownership of agent contracting data, including identity information, licensing data, banking information, or documents. We are a data custodian, not a data owner.
Carrier-specific data formats and field mappings generated by ContractIQ are the property of INSURASAFE and may not be replicated or redistributed without written consent.
To the maximum extent permitted by applicable law, INSURASAFE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of ContractIQ.
INSURASAFE's total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to INSURASAFE in the twelve months preceding the claim, or (b) one hundred dollars ($100).
INSURASAFE is not liable for any failure or delay in carrier acceptance of contracting applications, for carrier appointment decisions, or for regulatory actions taken by state insurance departments.
INSURASAFE may suspend or terminate your access to ContractIQ at any time, with or without notice, for any violation of these Terms, upon request from a regulatory authority, or for any other reason at our discretion.
You may terminate your account at any time by contacting support@contractiq.com. Upon termination, your access to the platform will cease. Data retention obligations described in the Privacy Policy continue to apply after termination.
Sections 5 (Data Ownership), 6 (Limitation of Liability), 8 (Governing Law), and 9 (Dispute Resolution) survive termination of these Terms.
These Terms are governed by the laws of the State of Kansas, without regard to its conflict of law provisions. Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Kansas.
Before initiating any formal legal proceedings, you agree to contact INSURASAFE at support@contractiq.com and attempt to resolve the dispute informally. INSURASAFE will make good-faith efforts to resolve disputes within 30 days of receiving written notice.
If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
By providing your phone number to ContractIQ, you consent to receive transactional SMS messages from INSURASAFE, LLC related to your account activity. These messages may include invitation notifications, writing number issuance alerts, E&O expiration reminders, and other operational notifications directly related to your use of the Service.
Message frequency: Message frequency varies based on your account activity. You may receive messages when you are invited to the platform, when your contracting status changes, or when action is required on your account.
Rates: Message and data rates may apply. Carrier rates for SMS and data services are determined by your mobile carrier and are not charged by ContractIQ.
Opt-out: Reply STOP to any SMS message to unsubscribe from future messages. You will receive a one-time confirmation. After opting out, you will no longer receive SMS notifications from ContractIQ.

SMS consent is not a condition of using ContractIQ or completing the contracting workflow. Opting out of SMS does not affect your ability to use the platform.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of ContractIQ after the effective date of updated Terms constitutes your acceptance of the revised Terms.
